1. Provision of Promotional Credits
From time to time, we may, at our sole discretion, issue promotional codes, rebates, coupons, or other promotional incentives ("Promotional Credits") to eligible Customers for application toward Service Orders placed on or through the Platform.
2. Conditions of Use
The issuance and use of Promotional Credits are conditional upon:
(a) your valid and verified registration of a Customer Account;
(b) your full acceptance of, and ongoing compliance with, our Terms any other applicable policies; and
(c) your satisfaction of any additional conditions, obligations, or minimum spend requirements as may be expressly stipulated in the applicable agreement between you and us, promotional materials, or any other communications issued by us in connection with the Promotional Credits.
We reserve the right to impose specific timeframes, spending thresholds, and usage limitations associated with the Promotional Credits.
3. Fees and Taxes
You acknowledge and agree that you shall be fully responsible for any and all Fees incurred in excess of the value of the Promotional Credit, as well as for the payment of any and all applicable local, state, national, or international taxes, levies, duties, or similar assessments arising from the use of the Services or the Promotional Credits.
4. Limitations and Restrictions
(a) Promotional Credits are strictly non-transferable, non-assignable, and may not be sold, exchanged for cash, bartered, or otherwise monetized.
(b) Promotional Credits may not be used to fully satisfy the payment obligations under any individual Service Order. The maximum portion of a Service Order price that may be paid using Promotional Credits is thirty percent (30%), with the remaining balance payable by you through other accepted payment methods.
(c) Only one Promotional Credit t may be active or applied to a Service Order at any given time.
(d) If multiple Promotional Credits are available, only the Promotional Credit providing the greatest discount to you will be applied.
(e) We retain exclusive discretion over the selection, availability, volume, and pricing of Services eligible for purchase using Promotional Credits.
5. Revocation, Suspension, and Forfeiture
We expressly reserve the right, without limitation, to revoke, suspend, cancel, or otherwise render void any Promotional Credits granted to you, with immediate effect and without prior notice, in the event that:
(a) you breach any provision of the Terms or these Promotional Credit Terms;
(b) you engage in conduct that infringes our Intellectual Property Rights or other proprietary interests;
(c) you are reasonably suspected of engaging in fraud, abuse, or manipulation of the promotional program (including but not limited to registering multiple Customer Accounts to obtain multiple first-order discounts); or
(d) we determine, at our sole discretion, that continued issuance or honoring of the Promotional Credits would expose it to legal, regulatory, reputational, or operational risk.
6. Account Status Requirement
Your Customer’s Account must at all times remain active, verified, and in good standing in order for you to remain eligible to use any Promotional Credits issued.
7. Acceptance and Incorporation
Your activation or use of any Promotional Credits shall constitute full acceptance of, and agreement to be bound by, the Terms and these Promotional Credit Terms, which are hereby incorporated by reference into the Terms.
8. Severability
In the event that any provision of these Promotional Credit Terms is held to be invalid, illegal, or unenforceable by a competent authority, such provision shall be severed, and the remaining provisions shall remain valid, binding, and enforceable to the fullest extent permitted by applicable law.
9. Miscellaneous
(a) Except where expressly stated otherwise herein, any capitalized terms used in these Promotional Credit Terms shall have the meanings assigned to them in the Terms.
(b) In the event of any conflict between any provision(s) of these Promotional Credit Terms and the Terms, the provision(s) of these Promotional Credit Terms shall prevail.
(c) The governing law and jurisdiction applicable to these Promotional Credit Terms shall be the same as those governing the Terms.
